Company secretarial
We handle compliance, so you can focus on growth
A dedicated company secretary to keep your statutory registers, ROC filings, meetings and company changes in perfect order.
Every company in Sri Lanka must appoint a qualified company secretary and keep its statutory records up to date with the Registrar of Companies. Missed annual returns or unrecorded changes can lead to penalties and problems when you raise finance or sell shares.
Our secretarial team becomes an extension of your board. We track deadlines, prepare resolutions and minutes, and file every change correctly.
You get one point of contact who knows your company’s history and is available when you need a resolution signed quickly.

FAQ
Frequently asked questions
Is a company secretary mandatory in Sri Lanka?
Yes. Under the Companies Act No. 7 of 2007, every company must have a secretary who meets the qualification requirements, and this can be an individual or a registered secretarial firm.
What is an annual return?
An annual return is a yearly filing with the Registrar of Companies that confirms your company’s directors, shareholders, registered address and share capital. We prepare and file it for you.
Can you take over from my current company secretary?
Yes. We manage the handover, review your records for gaps and bring any overdue filings up to date.
How quickly can you file a change of director?
Once the resolution and consents are signed, we file the change promptly, well within the statutory timeframe.
