Company registration in Sri Lanka, done right the first time

From name approval to your first corporate bank account, we register your Private Limited company with the Registrar of Companies quickly, correctly and at a fixed price.

Registering a company is the most important step in turning an idea into a real business. The right structure protects your personal assets, builds credibility with customers and banks, and sets you up for investment and growth.

SMARTLedger has guided more than 150 businesses through incorporation under the Companies Act No. 7 of 2007. We check your proposed name, draft your Articles of Association, prepare and file every form with the Registrar of Companies (ROC), and stay with you after registration so you start out compliant.

Most of the process is handled online and over WhatsApp, so you rarely need to leave your office. You receive digital copies of your documents by email and the originals in hard copy.

FAQ

Frequently asked questions

What do I need to register a Private Limited company in Sri Lanka?

Typically a proposed company name, the registered office address, copies of NIC or passport for each director and shareholder, their contact details and the share structure. We send you a simple checklist at the start.

How many directors and shareholders are required?

A private company can be formed with a single director and a single shareholder (who can be the same person). A private company can have up to 50 shareholders. Every company must also appoint a qualified company secretary, which we can provide.

Is there a minimum share capital?

There is no general minimum stated capital for a private company in Sri Lanka. Certain regulated sectors and foreign-investment cases may have their own requirements, and we will advise you if they apply.

Can a foreigner register a company in Sri Lanka?

Yes, foreign nationals can be directors and shareholders. Some sectors have additional approvals or investment requirements. Contact us and we will explain what applies to your business.

Should I register a sole proprietorship or a company?

A sole proprietorship is quick and cheap but offers no liability protection. A Private Limited company separates your personal assets from business risk and is preferred by banks, investors and larger customers. Read our comparison guide or ask us for advice.

What happens after my company is registered?

You will need a TIN, possibly VAT registration, EPF/ETF registration if you hire staff, proper books of accounts, annual returns and audited financial statements. Our compliance checklist explains each one, and we can handle them all.
