FAQ

Company registration questions

Are government fees included in the package price?

Package prices include the standard government registration fee for one director. Additional directors attract extra government charges, which we pass on at cost with no mark-up.

How long does company registration take?

Once your name is approved and the documents are signed, incorporation is usually completed within a few working days. Bank account opening then depends on each bank’s own process.

What documents do I need to provide?

Copies of the NIC or passport of each director and shareholder, their addresses and contact details, your registered office address, the business activities and the share structure. We send a simple checklist.

Can one person be the only director and shareholder?

Yes. A private company can be formed with one director who is also the sole shareholder. You will still need a company secretary, which is included in our Premium package.

Do I need a physical office to register?

You need a registered office address in Sri Lanka where official notices can be sent. Many small businesses use their home or business premises.

Is there a minimum capital requirement?

There is no general minimum stated capital for a private company in Sri Lanka. You can start with an amount that suits your business, and we will advise you on a sensible share structure.

Can I choose any company name?

The name must be unique, must not be misleading or too similar to an existing company, and must end with “(Private) Limited” or “(Pvt) Ltd”. We check availability before filing and suggest alternatives if needed.

Can foreigners use these packages?

Yes. Foreign nationals can be directors and shareholders. Some sectors have extra approvals or investment requirements, so we will confirm the details for your case.

Can I upgrade my package later?

Yes. Services such as TIN registration, company secretarial support and accounting can be added at any time.

What happens after my company is registered?

You will need to keep proper books, file annual returns with the ROC, register for tax (and possibly VAT), and register for EPF/ETF if you hire staff. We can manage all of this for you.

How do I pay?

We confirm your package and quote in writing first. Payment can be made by bank transfer, and we share the details with your quote.

Do I have to come to your office?

No. The whole process can be done online, by email and WhatsApp. Originals can be couriered or collected from our Moratuwa office.
